Waitlist & Early Access Terms

These Waitlist & Early Access Terms ("Waitlist Terms") govern your participation in the pre-launch waitlist and any early access programme operated by TRADECLOVER LLP, a limited liability partnership incorporated under the laws of India, having its registered office at 10th Floor 1002 Shiv Shrushti New Link Road Kandivali West 400067 ("TRADECLOVER", "we", "us", "our").

By submitting your details on our waitlist page at https://tradeclover.in (the "Site") or through any other channel made available by TRADECLOVER for this purpose, you ("you", "your", "Registrant") agree to be bound by these Waitlist Terms.

If you do not agree, please do not register for the waitlist.

1. What Is the Waitlist?

TRADECLOVER is developing an online B2B marketplace platform (the "Platform") designed to connect buyers and sellers of goods and services in India. The Platform has not yet launched publicly.

The waitlist allows interested individuals and businesses to:

  Express interest in gaining early or priority access to the Platform when it launches;
• 
  Receive updates, announcements, and communications about the Platform's development and launch; and
• 
  Be considered for early access, beta testing, or preview programmes at TRADECLOVER's sole discretion.

Joining the waitlist does not guarantee you access to the Platform, any specific feature, any pricing, or any commercial arrangement with TRADECLOVER.

2. Registration

2.1 Information You Provide

To join the waitlist, you may be asked to provide:

  Your name and/or your business name;
• 
  Your email address and/or mobile number;
• 
  Your role or category (e.g., buyer, seller, service provider); and
• 
  Any other optional information you choose to submit (such as business type, city, or areas of interest).

2.2 Accuracy

You confirm that all information you provide is true, accurate, current, and complete. TRADECLOVER is not responsible for any loss or delay caused by inaccurate or incomplete registration information.

2.3 One Registration Per Person / Entity

Please register only once. Duplicate registrations may be removed without notice.

3. What You Will Receive

By joining the waitlist, you may receive:

• 
  Confirmation of your waitlist registration;
• 
  Periodic updates about the Platform's development progress and expected launch timeline;
• 
  Invitations to beta or early access programmes (at TRADECLOVER's discretion);
• 
  Notifications when the Platform is ready for onboarding; and
• 
  Marketing and promotional communications about TRADECLOVER and its services.

The nature, frequency, and content of communications are at TRADECLOVER's discretion. You may opt out of marketing communications at any time using the unsubscribe link in any email we send, or by contacting us at privacy@tradeclover.in.

4. No Guarantees or Commitments

You acknowledge and agree that:

• 
  Joining the waitlist does not create any legal right to access the Platform or any feature thereof.
• 
  TRADECLOVER does not guarantee any specific launch date, feature set, pricing, or availability.
• 
  TRADECLOVER reserves the right to change, delay, or cancel the Platform's launch, or any feature or programme associated with it, at any time and without liability to Registrants.
• 
  Placement on the waitlist does not constitute a contract, offer, or commitment of any commercial nature between you and TRADECLOVER.
• 
  TRADECLOVER may limit, adjust, or close early access programmes at its sole discretion.

5. Consent to Communications

By registering, you expressly consent to TRADECLOVER contacting you by email, SMS, or other means at the contact details you have provided, for the purposes described in Section 3 above. This consent is in addition to any other consent you may give on the Site.

Your registration and the personal data you submit are handled in accordance with TRADECLOVER's Privacy Policy, available at https://tradeclover.in/privacy-policy. Please read it carefully.

We rely on your consent as the lawful basis for sending marketing communications. You may withdraw this consent at any time without affecting the lawfulness of communications sent before withdrawal. To opt out, use the unsubscribe link in any email or contact privacy@tradeclover.in.

6. Your Personal Data

We collect and use the information you provide for the following purposes:

• 
  Managing your waitlist registration;
• 
  Sending you updates and communications about the Platform;
• 
  Analysing demand and interest to guide product development; and
• 
  Contacting you about early access or partnership opportunities.

You may request deletion of your waitlist data at any time by emailing privacy@tradeclover.in or using the process described in our Account Deletion & Data Deletion Request Procedure.

7. Cookies

The Site uses cookies and similar tracking technologies. By accessing the Site, you agree to our use of cookies as described in our Cookie Policy athttps://tradeclover.in/cookie-policy. You can manage your cookie preferences through the cookie settings on the Site.

8. Intellectual Property

All content on the Site, including text, graphics, logos, design, and software, is owned by or licensed to TRADECLOVER and is protected under applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works of any content on the Site without TRADECLOVER's prior written consent.

9. Prohibited Conduct

In connection with the waitlist and the Site, you must not:

  Provide false or misleading information;
• 
  Register on behalf of another person without their consent;
• 
  Use automated means (bots, scrapers, etc.) to register or interact with the Site;
• 
  Attempt to gain unauthorised access to any system or data of TRADECLOVER;
• 
  Use the Site for any unlawful purpose or in violation of these Waitlist Terms; or
• 
  Engage in any conduct that could damage, disable, or impair the Site or TRADECLOVER's reputation.

10. Disclaimers

The Site and all information on it are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

TRADECLOVER does not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components. TRADECLOVER makes no representation about the accuracy, completeness, or suitability of any information on the Site.

11. Limitation of Liability

To the fullest extent permitted by applicable law, TRADECLOVER shall not be liable to you for any indirect, incidental, consequential, special, or punitive loss or damage arising out of or in connection with:

  Your participation in the waitlist;
• 
  Your reliance on any information on the Site;
• 
  Any delay, change, or cancellation of the Platform or its features; or
• 
  Any failure of the Site to be available or to function as expected.

TRADECLOVER's total aggregate liability to you in connection with these Waitlist Terms shall not exceed INR 1,000 (Indian Rupees One Thousand only), to the extent any liability arises at all.

12. Changes to These Waitlist Terms

TRADECLOVER may update these Waitlist Terms at any time. Any changes will be posted on the Site with a revised effective date. Your continued participation in the waitlist after any such update constitutes your acceptance of the revised terms.

13. Removal from the Waitlist

You may remove yourself from the waitlist at any time by:

  Emailing privacy@tradeclover.in with the subject line "Remove Me from Waitlist"; or
• 
  Clicking the unsubscribe link in any communication we send you.

TRADECLOVER may also remove any Registrant from the waitlist at its sole discretion, including in cases of suspected fraud, duplicate registrations, or misuse.

14. Governing Law and Jurisdiction

These Waitlist Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Waitlist Terms shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra, India.

15. Grievance Redressal

In accordance with the Information Technology Act, 2000 and rules made thereunder, if you have any grievance relating to the Platform or these Waitlist Terms, you may contact our Grievance Officer:

We will endeavour to acknowledge your grievance within 24 hours and resolve it within 30 days of receipt.
