Terms and Conditions
Effective Date: 20-03-2026
These Terms of Use ("Terms") govern your access to and use of the online marketplace platform operated by TRADECLOVER LLP, including its websites, mobile applications, and related services (collectively, the "Platform"). The Platform facilitates (a) lead generation and subscriptions for business enquiries and (b) transaction facilitation between buyers and sellers.
These Terms constitute a legally binding agreement between TRADECLOVER LLP, a limited liability partnership incorporated under the laws of India, having its registered office at 10th Floor 1002 Shiv Shrushti New Link Road Kandivali West 400067 ("TRADECLOVER", "we", "us", "our"), and you as a user of the Platform ("you", "your", "User").
By accessing, browsing, registering on, or using the Platform in any manner (including by clicking "I Agree", "Sign Up", or similar button), you acknowledge that you have read, understood, and agree to be bound by these Terms and our associated policies referred to herein.
If you do not agree to these Terms, you must not access or use the Platform.
1. Definitions
Unless the context requires otherwise, the following terms shall have the meanings set out below:

"Account" means the registered user account created by or for a User on the Platform, including as a buyer, prospective buyer, seller, service provider, or other category of user.

"Applicable Law" means all laws, ordinances, rules, regulations, notifications, guidelines, orders, judgments, decrees, and other requirements of any governmental or regulatory authority in force in India, including without limitation:
• the Information Technology Act, 2000 and rules thereunder;
• the Consumer Protection Act, 2019 and Consumer Protection (E-commerce) Rules, 2020;
• data protection and privacy laws as may be notified and applicable from time to time.

"Buyer" means any User who uses the Platform to search for, request, negotiate, or purchase products or services from Sellers, including by responding to listings or leads.

"Content" means any information, data, text, images, graphics, audio, video, documents, links, code, materials, or other content in any form uploaded, submitted, posted, displayed, transmitted, shared, or otherwise made available on or through the Platform.

"Fees" means any fees, charges, commissions, subscription payments, listing fees, convenience fees, or other amounts payable by Users to TRADECLOVER as specified on the Platform and/or in applicable commercial or subscription terms, including lead/subscription-based fees, transaction facilitation fees, and value-added service fees, if any.

"Leads" means enquiries, requests for quotation, contact details, business opportunities, or other expressions of interest generated or made available via the Platform to Sellers or service providers.

"Personal Data" means any information relating to an identified or identifiable natural person, as interpreted under Applicable Law.

"Platform Services" means the services offered by TRADECLOVER through the Platform, including providing access to product/service listings and seller profiles, generating and distributing Leads, facilitating communications between Buyers and Sellers, providing tools for negotiation, order placement, and transaction coordination, enabling payment processing via third-party payment service providers (where applicable), and providing subscriptions, dashboards, analytics, and related value-added services.

"Policies" means the policies, rules, and guidelines published by TRADECLOVER from time to time, including:

• Listing & Prohibited Items Policy: tradeclover.in/listing-policy
• Refund, Cancellation & Dispute Policy: tradeclover.in/refund-policy
• IP Infringement Takedown Policy: tradeclover.in/infringement-policy
• Grievance Redressal Policy: tradeclover.in/grievance

"Seller" means any User (including merchants, manufacturers, distributors, service providers, or other vendors) who lists or offers products or services on or via the Platform, or receives Leads or transaction facilitation services via the Platform.

"Third-Party Services" means any products, services, websites, applications, tools, or content provided by third parties that may be integrated with, linked to, or accessible through the Platform (including payment gateways and logistics providers).

"Transaction" means any purchase, sale, supply, or other commercial arrangement between a Buyer and a Seller that is initiated, facilitated, or otherwise supported via the Platform, including through Leads and transaction facilitation features.
2. Acceptance of Terms
2.1 Binding Contract

By accessing or using the Platform, you represent that you are legally competent to enter into a binding contract; and

You agree to be bound by these Terms and the Policies, each as may be updated from time to time.
2.2 Amendments
TRADECLOVER may update, modify, or replace these Terms and/or any Policies at its discretion. Updated versions will be posted on tradeclover.in/terms. Changes will be effective on the date indicated therein. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
2.3 Supplemental Terms
Certain features or services (such as seller onboarding, subscription packages, marketing services, or beta programs) may be subject to additional terms, policies, or commercial arrangements ("Supplemental Terms"). In case of a conflict between these Terms and any Supplemental Terms specifically applicable to a feature or service you use, the Supplemental Terms shall prevail for that feature or service.
3. Eligibility and User Categories
3.1 General Eligibility

You may use the Platform only if you are at least 18 years of age; and

You have the legal capacity to enter into a contract under Applicable Law.
3.2 Use on Behalf of an Entity

If you access or use the Platform on behalf of a company, partnership, proprietorship, LLP, or any other legal entity, you represent and warrant that you are duly authorised to bind such entity to these Terms; and

"you" and "User" shall refer to both you as an individual and such entity.
3.3 Seller Eligibility
Sellers must satisfy TRADECLOVER's onboarding, KYC, and compliance requirements, including submission of documents and declarations as specified in the seller onboarding form and Seller terms. TRADECLOVER reserves the right to deny or revoke Seller access if KYC or compliance requirements are not met, and to conduct ongoing checks and verifications in accordance with its internal policies and Applicable Law.
3.4 Restricted Users

You must not use the Platform if you have previously been suspended or banned by TRADECLOVER;

Your access is restricted under any Applicable Law, court order, or regulatory direction; or

You are located in a jurisdiction where access to the Platform is prohibited by law.
4. Account Registration, Verification, and Security
4.1 Account Creation
To access certain features (including lead subscriptions, listing products, or conducting Transactions), you may be required to create an Account by providing accurate, current, and complete information, including full name or authorised business name, contact information, business registration, tax, and KYC details for Sellers, and any other information requested by TRADECLOVER.
4.2 Accuracy of Information

You agree to provide true, accurate, and complete information; and

Promptly update such information to keep it current and accurate.
TRADECLOVER may rely on the information provided by you and shall not be liable for any loss or damage arising from inaccurate, incomplete, or outdated information.
4.3 Account Credentials and Security

You are responsible for maintaining the confidentiality of your login credentials (username, passwords, OTPs, API keys, etc.); and

All activities that occur under your Account, whether or not authorised by you.

You must promptly notify TRADECLOVER at security@tradeclover.in of any suspected unauthorised use, security breach, or compromise of your Account; and

Ensure that you log out from your Account at the end of each session where applicable.
4.4 Verification
TRADECLOVER may, at its sole discretion, conduct KYC checks, background verifications, or validation of Sellers and/or Buyers using government-issued IDs, registration documents, or other means. TRADECLOVER does not guarantee the truthfulness, reliability, or completeness of any User's identity or credentials.
4.5 Multiple Accounts
TRADECLOVER reserves the right to restrict or prohibit the creation or use of multiple Accounts by the same individual or entity, except where expressly permitted. TRADECLOVER may consolidate or deactivate Accounts that it reasonably believes to be duplicative or fraudulent.
5. Scope of Platform and Role of TRADECLOVER
5.1 Marketplace Intermediary

TRADECLOVER operates the Platform as a digital intermediary and technology provider that facilitates discovery of Sellers, products, and services;

Enables lead generation and subscriptions;

Supports communications, negotiation, and order coordination between Buyers and Sellers; and

May provide tools to support Transaction facilitation (including payment gateway integrations, logistics coordination, or documentation workflows).
Except where explicitly stated in a separate written agreement, TRADECLOVER is not a party to the Transactions between Buyers and Sellers and does not assume responsibility for the quality, safety, legality, or fulfilment of products or services offered by Sellers.
5.2 No Agency or Guarantee

Unless otherwise agreed in writing, TRADECLOVER does not act as an agent, partner, or representative of any Buyer or Seller;

TRADECLOVER does not guarantee any minimum number of Leads, conversion rate, revenue, or business outcome; and

TRADECLOVER does not guarantee that any enquiry, negotiation, or Transaction will be successfully concluded.
5.3 Third-Party Services
Certain functionalities (e.g., payments, logistics, verification, analytics) may be provided by Third-Party Services. Use of such Third-Party Services may be subject to separate terms and privacy policies imposed by such third parties. TRADECLOVER is not responsible for the availability, performance, or security of Third-Party Services or any acts, omissions, or defaults of third-party providers.
5.4 No Professional Advice
The Platform and Content are provided for general information and transactional facilitation purposes only and do not constitute legal, tax, financial, technical, or other professional advice. You should obtain independent advice before relying on any information or entering into any Transaction.
6. Leads, Subscriptions, and Fees
6.1 Lead Generation Services

For Sellers and service providers, the Platform may generate and assign Leads based on search queries, category selection, geographic filters, or algorithmic matching; and/or

Provide access to enquiries, RFQs, or Buyer contact data.
The quantity, frequency, and quality of Leads may vary based on demand, Platform algorithms, Seller profile completeness, responsiveness, and other factors. TRADECLOVER does not guarantee any particular volume or conversion of Leads.
6.2 Subscription Plans and Commercial Terms
TRADECLOVER may offer one or more paid or free subscription plans for access to Leads, promotional tools, analytics, and other Platform Services. Details of each plan (including Fees, inclusions, limits, and term) will be as specified on [-To Be Announced] or in a subscription order form, proposal, or commercial agreement executed between TRADECLOVER and the User. In case of inconsistency between these Terms and specific subscription commercial terms, such commercial terms will prevail for that subscription.
6.3 Payment of Fees

Unless otherwise agreed, Fees are payable in Indian Rupees (INR) via the payment methods specified on the Platform (which may include integration with one or more third-party payment service providers such as [- To Be Announced]); and

You authorise TRADECLOVER and its payment partners to charge your selected payment method for Fees, plus applicable taxes and charges as per Applicable Law.
6.4 Taxes
All Fees are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for payment of any GST, VAT, or other taxes applicable to your use of the Platform and/or your Transactions, except for taxes on TRADECLOVER's income.
6.5 No Refunds Unless Provided in Policy

Except as expressly provided in the Refund, Cancellation & Dispute Policy available at tradeclover.in/refund-policy or in any applicable written agreement with TRADECLOVER, Fees paid are non-cancellable and non-refundable; and

Partial term usage or non-usage of services does not entitle you to a refund.
6.6 Consequences of Non-Payment

If you fail to pay Fees when due, TRADECLOVER may suspend or limit your access to the Platform or certain features;

Withhold or delay delivery of Leads or services;

Charge interest on overdue amounts at [- To Be Announced per month or the maximum rate permissible by law, whichever is lower; and/or

Terminate your subscription or Account in accordance with Section 14.
7. Transaction Facilitation Between Buyers and Sellers
7.1 Direct Contract Between Buyer and Seller

Any Transaction formed via the Platform is a direct contract between the Buyer and the Seller.

Buyers are responsible for carefully reviewing Seller profiles, product/service descriptions, pricing, and terms before entering into any Transaction; and

Sellers are responsible for honouring the terms of their offers, including quality, quantity, delivery timelines, warranties (if any), after-sales support, and statutory obligations.
7.2 Order Placement and Confirmation

Depending on Platform features, Buyers may place orders or requests directly via the Platform, or negotiate terms through Platform communication tools;

Sellers may accept, reject, or propose modifications to such orders or requests through the Platform or other agreed channels.
Any order confirmation, dispatch, invoice, or other record exchanged between Buyer and Seller (through or outside the Platform) shall form part of their independent contractual arrangement.
7.3 Payments for Transactions

Where payment facilitation is enabled on the Platform, payments made by Buyers may be collected by TRADECLOVER's authorised payment service providers and remitted to Sellers (after deduction of applicable Fees, commissions, or charges as agreed with Sellers); and

TRADECLOVER's role is limited to facilitating payment processing and settlement through third-party providers.
Payment processing timelines, settlement cycles, chargeback handling, and related matters shall be governed by the terms of the relevant Third-Party Services and any specific commercial terms agreed with Sellers.
7.4 Logistics and Fulfilment
Logistics, delivery, installation, and related fulfilment obligations are the responsibility of the Seller and/or Buyer, as applicable, unless TRADECLOVER expressly agrees otherwise in writing. TRADECLOVER is not liable for delay, damage, loss, or non-delivery of goods or services.
7.5 Refunds, Cancellations, and Disputes

Platform-level refund, cancellation, and dispute handling between Buyers and Sellers shall be governed by the Refund, Cancellation & Dispute Policy at tradeclover.in/refund-policy, as updated from time to time.

Nothing in these Terms obliges TRADECLOVER to mediate or resolve all disputes between Buyers and Sellers; or

Provide any refund to a Buyer or Seller except as expressly provided in the said policy or in Applicable Law.
7.6 Compliance with Listing & Prohibited Items Policy
All Transactions are subject to the Listing & Prohibited Items Policy at tradeclover.in/listing-policy. Sellers must ensure that products or services offered via the Platform are permitted under Applicable Law and under TRADECLOVER's policies. Buyers must not request or attempt to procure any prohibited or restricted items in violation of such policy or Applicable Law.
8. Acceptable Use and User Obligations
8.1 General Conduct
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not, directly or indirectly:

Use the Platform in any manner that violates any Applicable Law or contractual obligation, or infringes the rights (including IP, privacy, or personality rights) of TRADECLOVER, other Users, or third parties.

Post, upload, transmit, or share any Content that is false, misleading, deceptive, or fraudulent; offensive, defamatory, obscene, pornographic, discriminatory, hateful, or otherwise objectionable; harassing, threatening, or invasive of another's privacy; or in violation of the Listing & Prohibited Items Policy or encourages illegal or dangerous activities.

Use the Platform to distribute spam, unsolicited communications, or pyramid schemes; engage in phishing, fraud, money laundering, terrorism financing, or other criminal activity; or advertise or promote competing platforms in a manner contrary to TRADECLOVER's policies.

Interfere with or disrupt the Platform, including by introducing viruses, malware, or harmful code; conducting denial-of-service (DoS) or similar attacks; or bypassing, undermining, or attempting to circumvent any security or authentication measures.

Engage in any automated or high-volume use of the Platform including using bots, crawlers, scrapers, or other automated means without TRADECLOVER's prior written consent; or harvesting or collecting information about other Users for unsolicited communication or commercial exploitation.
8.2 Seller Obligations

Sellers shall ensure that all listings, descriptions, and representations about products/services are accurate, up to date, and not misleading;

Comply with all Applicable Law (including consumer protection, product safety, tax, and export/import controls);

Obtain and maintain all necessary licences, consents, and registrations;

Not engage in bait advertising, fake reviews, or misrepresentation of stock or pricing; and

Honour warranties, after-sales obligations, and statutory recall or safety requirements.
8.3 Buyer Obligations

Buyers shall act in good faith in interactions with Sellers;

Not misuse the Platform to obtain information, quotations, or samples without genuine purchase intent;

Comply with payment obligations in a timely manner; and

Refrain from abusive conduct towards Sellers, TRADECLOVER personnel, or support staff.
9. User Content and Platform Content
9.1 User Content Responsibility

You are solely responsible for all Content you submit, upload, post, or otherwise make available on or through the Platform ("User Content").

By providing User Content, you represent and warrant that you own or have sufficient rights and permissions to use and share such User Content as contemplated by these Terms; and

Your User Content does not violate any Applicable Law, IP rights, privacy rights, or other rights of any person.
9.2 Licence to TRADECLOVER

By submitting User Content, you grant TRADECLOVER a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, use, reproduce, modify, adapt, publish, translate, display, and distribute such User Content on and in connection with the Platform; and

Use anonymised or aggregated data derived from such User Content for analytics, Platform improvement, marketing insights, and other legitimate business purposes, subject to the Privacy Policy.
9.3 Monitoring and Removal of Content

TRADECLOVER does not undertake to pre-screen all User Content.

However, TRADECLOVER reserves the right (but has no obligation) to monitor, review, or edit User Content for compliance with these Terms and Applicable Law; and

Remove, disable access to, or modify any User Content that TRADECLOVER, in its sole discretion, considers to be in violation of these Terms, the Policies, or Applicable Law.
9.4 Platform Content and Ownership
Except for User Content and content provided by third parties, all materials on or forming part of the Platform, including text, graphics, UI/UX elements, logos, icons, images, videos, software code, databases, the TRADECLOVER name and marks (collectively, "Platform Content"), are owned by or licensed to TRADECLOVER and are protected by IP laws. You may use Platform Content only for legitimate use of the Platform and not for any unauthorised or commercial exploitation.
9.5 Feedback

If you provide suggestions, ideas, or feedback relating to the Platform or TRADECLOVER's services ("Feedback"), TRADECLOVER may freely use, modify, and incorporate such Feedback without any obligation to compensate you; and

Such Feedback shall not be considered your confidential information.
10. Intellectual Property Rights
10.1 TRADECLOVER IP
All rights, title, and interest in and to the Platform and Platform Content, TRADECLOVER trademarks, trade names, logos, and branding, and all related software, technology, and documentation (collectively, "TRADECLOVER IP") are and shall remain the exclusive property of TRADECLOVER and/or its licensors.
10.2 Limited Licence to Use Platform
Subject to your compliance with these Terms, TRADECLOVER grants you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform solely for your internal business or personal use (as applicable) and for lawful purposes.
10.3 Restrictions

You shall not, and shall not permit any third party to copy, modify, adapt, translate, or create derivative works of any TRADECLOVER IP;

Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Platform, except to the limited extent expressly permitted by Applicable Law;

Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
10.4 Third-Party IP
The Platform may display or incorporate trademarks, logos, or content of third parties (such as Sellers, payment providers, or logistics partners). All such IP remains the property of their respective owners, and use of the Platform does not grant you any rights in respect thereof.
10.5 IP Complaints and Takedowns
If you believe that any Content on the Platform infringes your IP rights, you may submit a notice in accordance with the IP Infringement Takedown Policy & Notice Templates available at tradeclover.in/infringement-policy. TRADECLOVER will review and act on such notices in accordance with Applicable Law and internal processes.
11. Privacy, Data Protection, and Cookies
11.1 Privacy Policy
TRADECLOVER's handling of Personal Data collected or processed through the Platform is described in the Privacy Policy at tradeclover.in/privacy-policy. By using the Platform, you acknowledge that you have read and understood the Privacy Policy and consent to the collection, use, sharing, and processing of your Personal Data as described therein.
11.2 Cookies and Similar Technologies
The Platform uses cookies and similar technologies as described in the Cookie Policy at tradeclover.in/cookie-policy. By using the Platform and/or selecting your cookie preferences, you consent to TRADECLOVER's use of cookies in accordance with the Cookie Policy.
11.3 Data Security

TRADECLOVER implements commercially reasonable technical and organisational measures to protect Personal Data and other information processed via the Platform.

However, you acknowledge that no system is completely secure; and

TRADECLOVER cannot guarantee absolute security of your data.
You are responsible for implementing appropriate security measures in relation to your devices, networks, and backup practices.
11.4 Data Shared with Sellers and Third Parties

Subject to the Privacy Policy and Applicable Law, TRADECLOVER may share certain User information (including contact details and business profile information) with Sellers, Buyers, payment providers, logistics partners, and other third parties as necessary to enable Leads and Transactions; and

Provide Platform Services and related support.
12. Disclaimers
To the maximum extent permitted by Applicable Law:
12.1 Platform Provided "As Is"
The Platform and all services and Content provided on or through it are made available on an "as is" and "as available" basis, without warranties or representations of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.
12.2 No Warranty as to Listings or Transactions

TRADECLOVER does not endorse, guarantee, or make any representations regarding any Seller, Buyer, product, service, listing, lead, rating, or review; or

Warrant that any Transaction will be successfully completed or that any product/service will meet a User's expectations.
12.3 Availability and Performance

TRADECLOVER does not warrant that the Platform will be uninterrupted, timely, secure, or error-free;

Defects will be corrected; or

The Platform or servers are free of viruses or other harmful components.
12.4 Third-Party Services and Links
Any Third-Party Services, websites, or resources that may be accessed via links on the Platform are provided for convenience only. TRADECLOVER is not responsible for the availability or accuracy of such third-party resources, or any content, products, or services available from such third parties. Your use of Third-Party Services is at your own risk and subject to the applicable third-party terms.
13. Limitation of Liability
To the maximum extent permitted by Applicable Law:
13.1 Exclusion of Certain Damages

TRADECLOVER, its partners, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages;

Loss of profits, revenue, business, goodwill, or data; or

Business interruption or loss of business opportunity arising out of or in connection with your access to or use of, or inability to access or use, the Platform; any Transaction or relationship between Buyers and Sellers; any conduct or Content of any User or third party; or any unauthorised access, use, or alteration of your transmissions or data, even if TRADECLOVER has been advised of the possibility of such damages.
13.2 Aggregate Liability Cap
Subject to Section 13.3, TRADECLOVER's aggregate liability (whether in contract, tort, negligence, strict liability, or otherwise) arising out of or in connection with these Terms or the Platform shall be limited to the lower of the total Fees actually paid by you to TRADECLOVER during the [- To Be Announced] months immediately preceding the event giving rise to the claim, and INR [-To Be Announced].
13.3 Exceptions

Nothing in these Terms shall limit or exclude TRADECLOVER's liability for death or personal injury caused by TRADECLOVER's gross negligence; or

To the extent such limitation or exclusion is not permitted under Applicable Law.
14. Indemnity
You agree to indemnify, defend, and hold harmless TRADECLOVER, its partners, directors, employees, agents, and affiliates from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of or access to the Platform, including any Transactions with other Users;

Your breach or alleged breach of these Terms, any Policies, or Applicable Law;

Your User Content, including any allegation that such content infringes or misappropriates any third-party IP or other rights;

Any misuse of the Platform under your Account; or

Your negligence, wilful misconduct, or fraud.
TRADECLOVER reserves the right to assume exclusive control of the defence of any matter otherwise subject to indemnification by you, in which case you will cooperate fully with TRADECLOVER in asserting any available defences.
15. Suspension and Termination
15.1 Suspension or Restriction by TRADECLOVER

TRADECLOVER may, at any time and without prior notice, suspend, restrict, or disable your access to all or part of the Platform if you are in breach of these Terms, any Policy, or Applicable Law;

TRADECLOVER suspects fraud, misuse, or unauthorised access involving your Account; or

Required by law enforcement, regulatory instruction, or a court order.
15.2 Termination by TRADECLOVER

TRADECLOVER may terminate your Account or these Terms (in whole or in part) with reasonable prior notice where practicable; or

Immediate effect in case of serious or repeated breach, fraud, or unlawful conduct.
15.3 Termination by You

You may terminate these Terms at any time by discontinuing all access to and use of the Platform; and

If applicable, requesting closure of your Account via [- To Be Announced].
Certain obligations (e.g., payment obligations accrued up to termination, confidentiality, IP provisions, limitation of liability, and indemnities) shall survive termination.
15.4 Effect of Termination

Upon termination, your right to access and use the Platform shall cease;

TRADECLOVER may delete or deactivate your Account in accordance with its data retention policies; and

TRADECLOVER shall not be liable to you or any third party for such termination or deletion, subject to Applicable Law and your rights under the Privacy Policy.
16. Notices and Communications
16.1 Electronic Communications

By using the Platform, you consent to receive communications from TRADECLOVER electronically, including emails, SMS/WhatsApp, push notifications, and in-app messages; and

Notices and disclosures posted on the Platform.
Such communications satisfy any legal requirement that communications be in writing.
16.2 Notices from TRADECLOVER to You

TRADECLOVER may provide notices to you by email to the address associated with your Account;

SMS or other messaging channels using the contact number associated with your Account; or

Posting a notice on the Platform or within your Account dashboard.
It is your responsibility to keep your contact information accurate and up to date.

18. Governing Law and Dispute Resolution (Arbitration)
18.1 Governing Law
These Terms, including any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
18.2 Good-Faith Resolution
The parties shall first endeavour to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform ("Dispute") amicably through good-faith negotiations. Either party may initiate such discussions by providing written notice of the Dispute to the other party.
18.3 Arbitration

If the parties are unable to resolve the Dispute amicably within [- To Be Announced] days from the date of notice, the Dispute shall be finally resolved by arbitration.

Seat and Venue: The seat and legal place of arbitration shall be Mumbai, India. The venue of hearings shall ordinarily be in Mumbai, India, unless the parties mutually agree otherwise (including the use of virtual/online hearings).

Arbitration Rules and Law: The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The governing law of the arbitration agreement shall be Indian law.

Arbitral Tribunal: The tribunal shall consist of a sole arbitrator, jointly appointed by the parties. If the parties are unable to agree on a sole arbitrator within [-To Be Announced] days from the request for arbitration, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.

Language: The language of the arbitration shall be English.

Costs: The costs of arbitration (including arbitrator's fees) shall be borne as determined by the arbitral tribunal.
18.4 Courts in Mumbai
Subject to the foregoing arbitration provisions, the courts at Mumbai, India shall have exclusive jurisdiction over any matters not subject to arbitration or to the extent a court is required to intervene in support of arbitration.
18.5 Injunctive Relief
Nothing in this Section shall prevent TRADECLOVER from seeking interim, equitable, or injunctive relief (including orders for specific performance or restraining orders) from a court of competent jurisdiction to protect its IP rights, confidential information, or other legitimate interests, pending final resolution of the Dispute by arbitration.
19. Miscellaneous
19.1 Entire Agreement
These Terms, together with the Policies and any applicable Supplemental Terms or commercial agreements executed with you, constitute the entire agreement between you and TRADECLOVER regarding the subject-matter hereof and supersede all prior or contemporaneous understandings, communications, or agreements.
19.2 No Waiver
Failure or delay by TRADECLOVER in exercising any right or remedy under these Terms shall not constitute a waiver of such right or remedy, nor shall any single or partial exercise prevent further exercise of that or any other right or remedy.
19.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be deemed severed and the remaining provisions shall continue in full force and effect.
19.4 Assignment
You may not assign, transfer, or delegate any rights or obligations under these Terms without TRADECLOVER's prior written consent. TRADECLOVER may assign or transfer its rights and obligations under these Terms to any affiliate or third party as part of a reorganisation, merger, acquisition, or sale of business or assets, provided that such assignment does not materially prejudice your rights.
19.5 Relationship of the Parties
Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between you and TRADECLOVER.
19.6 Force Majeure
TRADECLOVER shall not be liable for any delay or failure in performance of its obligations under these Terms to the extent such delay or failure is caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, strikes, cyber-attacks, or failure of telecommunications or utilities.

Section headings are for convenience only and shall not affect the interpretation of these Terms.
